Terms of Service
These terms describe how you may use SmileKonnect. They do not replace professional duties of dentists or clinics, and they do not make the platform a substitute for emergency care. For privacy details, see the Privacy Policy.
1. Agreement to these Terms
These Terms of Service govern your access to and use of SmileKonnect, including the website, web application, mobile application, and related online services.
Acceptance
By creating an account, accessing, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
Organization use
If you use the Services on behalf of a clinic or organization, you represent that you have authority to bind that organization.
Operator contact
Product branding is associated with Dr. Ramesh Agrawal, General Dentist (Ontario). Contact: smilekonnect@drrameshagrawal.com.
2. What SmileKonnect is — and is not
SmileKonnect provides digital tools for dental communication, patient coordination, clinical referral workflows, electronic documents and signatures, mentorship, notifications, and related clinic administration.
Not a substitute for care
SmileKonnect does not replace in-person examination, diagnosis, or emergency care. It does not create a dentist–patient relationship merely by registration, except to the extent a licensed professional expressly establishes care through ordinary professional means. It does not guarantee clinical outcomes.
- For acute pain, trauma, swelling, uncontrolled bleeding, or other urgent problems, contact a dental clinic, physician, or emergency service immediately
- Clinical judgment remains the responsibility of the licensed professionals involved
3. Eligibility and accounts
Eligibility
You must be capable of forming a binding contract under Ontario law. Patients who are minors may use the Services only with required parent or guardian involvement as prompted by registration and care workflows.
Professional users
Dentists, clinical referees, mentees, and administrators must be appropriately authorized for the role they select and must provide accurate professional information.
Account security
You agree to provide accurate information, safeguard your credentials, and notify us promptly of suspected unauthorized access. We may require email verification, multi-factor authentication, password changes, or other security measures.
Account status
Accounts may be pending verification or approval, active, inactive, or suspended. We may refuse, suspend, or terminate access where reasonably necessary for security, legal compliance, misuse, or operational reasons.
4. Roles on the platform
SmileKonnect supports Patients (and parents/guardians), Dentists (including mentor dentists), Clinic administrators, Clinical referees (for example, dental hygienists in the referral program), and Mentees (eligible professionals in mentorship).
Authorized use only
You must use only the role and permissions assigned to you. Attempting to access another user’s information without authority is prohibited. Professional users must also comply with the Acceptable Use rules in these Terms and related professional responsibilities.
5. Acceptable use
Prohibited conduct
You agree not to use the Services unlawfully; harass or threaten others; upload malware; impersonate another person; access or disclose personal health information without authority; share login credentials; circumvent access controls; or use mentorship, forum, or messaging features to solicit unlawful activity or practise outside your authorized scope.
Further detail
Misuse of patient information, forum conduct, and payment-card handling expectations are described further in our Acceptable Use principles within these Terms and the Privacy Policy.
6. Patient information, privacy, and records
Privacy Policy
Handling of personal information and personal health information is described in the Privacy Policy and related notices on this Legal Hub.
Professional recordkeeping
Dentists and clinics are responsible for maintaining records in accordance with the Royal College of Dental Surgeons of Ontario and PHIPA. Platform tools support recordkeeping; they do not transfer professional responsibility to the software alone.
Licence to operate the Services
You grant SmileKonnect a limited right to host, process, transmit, and display content you submit as needed to operate the Services and as described in the Privacy Policy.
7. Electronic communications and signatures
Service messages
By using the Services, you consent to receive service-related electronic communications (such as security codes, appointment-related messages, signing invitations, and administrative notices) at the contact details you provide, including email, SMS where enabled, and push notifications where enabled.
Electronic signatures
Where you sign documents electronically, you agree that electronic signatures and related records may be used with the same effect as handwritten signatures to the extent permitted by applicable law. Review disclosures in each signing workflow before signing.
8. Mentorship and educational use
Mentorship scope
Mentorship features allow mentees to submit case information and receive guidance from mentor dentists. Mentorship content is educational and consultative within the program’s design. It does not automatically create a treating relationship between a mentor and a mentee’s patient unless separately established in accordance with professional standards.
Mentee responsibility
Mentees remain responsible for the care they provide and for ensuring lawful authority to share case information.
9. Fees and payment arrangements
Service plans
Some mentorship or consultation features may involve service plans or fees configured by a dentist within the platform. Applicable prices and billing terms will be presented in the relevant workflow.
Treatment-plan payment cards
Payment card details collected in treatment-plan workflows are for payment arrangements with the dental practice, not a general consumer marketplace checkout operated independently of that care relationship.
10. Intellectual property
Platform IP
SmileKonnect, including its software, branding, and documentation, is owned by the operator or its licensors. You receive a limited, non-exclusive, non-transferable right to use the Services as permitted by these Terms.
Your content
You retain rights in content you lawfully own and submit, subject to the licences needed for us to operate the Services. You must not upload content that infringes others’ rights.
11. Third-party services
Interoperability
The Services may interoperate with third-party systems (for example, email, SMS, push notification providers, or accounting software). Your use of those systems may be subject to the third party’s terms. We are not responsible for third-party services we do not control, except to the extent required by law for our own handling of information.
12. Disclaimers
As available
To the maximum extent permitted by Ontario law, the Services are provided “as is” and “as available.” We do not warrant uninterrupted or error-free operation, or that the Services will meet every clinical, regulatory, or business requirement without appropriate professional oversight.
Non-excludable liability
Nothing in these Terms excludes liability that cannot be excluded under applicable law, including certain liability for fraud or for death or personal injury caused by negligence where such exclusion is prohibited.
13. Limitation of liability
Limits
To the maximum extent permitted by Ontario law, SmileKonnect and its operators, directors, and personnel will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or business interruption, arising from your use of the Services, even if advised of the possibility.
Aggregate cap
To the maximum extent permitted by law, aggregate liability for claims relating to the Services is limited to the greater of (a) the amounts you paid to us for the Services in the twelve months before the claim, or (b) one hundred Canadian dollars (CAD $100). These limits do not apply where prohibited by law and do not limit a health professional’s separate liability for clinical care.
14. Indemnity
Professional users
To the extent permitted by law, professional users agree to indemnify and hold harmless SmileKonnect and its operators from claims arising out of misuse of the Services, unauthorized disclosure of personal health information by the user, content the user submits, or the user’s violation of these Terms or applicable professional standards—except to the extent caused by our wilful misconduct or gross negligence.
15. Suspension and termination
Our rights
We may suspend or terminate access immediately if we reasonably believe you have breached these Terms, pose a security or privacy risk, or if required by law.
Your choice to stop
You may stop using the Services at any time. Account closure does not automatically erase clinical records that must be retained by law or professional standards. See the Privacy Policy and Data Deletion Request page regarding deletion requests.
16. Changes
Updates to Terms
We may modify the Services and these Terms. We will post updated Terms with a revised effective date. If you continue to use the Services after changes take effect, you accept the updated Terms, except where Ontario law requires a different method of acceptance.
17. Governing law and disputes
Ontario law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules.
Courts
Subject to any rights you may have that cannot be waived, the courts of Ontario will have exclusive jurisdiction over disputes arising from these Terms or the Services. Before filing a claim, please contact us to seek an informal resolution.
